Terms of Service

Effective date: March 1, 2026

1. Acceptance of Terms

By accessing or using the Chloe platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Chloe, Inc. (“Chloe”, “we”, “us”).

2. Service Description

Chloe provides managed hosting for Ghost, the open-source publishing platform. Our Service includes provisioning, maintaining, and scaling Ghost instances on cloud infrastructure, along with related features such as custom domain management, CDN, email delivery, automated backups, and a management portal. Ghost is an independent open-source project; Chloe is not affiliated with Ghost Foundation.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction.
  • Provide accurate, complete, and current registration information.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account. Chloe is not liable for any loss resulting from unauthorized use of your account.

4. Billing & Payments

  • All paid plans are billed in advance on a monthly or annual basis, as selected at the time of purchase.
  • Prices are listed in US Dollars and are exclusive of applicable taxes unless otherwise stated.
  • You authorize Chloe to charge your payment method on file for recurring subscription fees via Stripe.
  • Refunds are available within 14 days of initial purchase. After 14 days, subscriptions are non-refundable but may be cancelled at any time to prevent future charges.
  • We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honored at their current rate until the next renewal.
  • Free trials do not require a credit card. At the end of the trial period, your instance will be paused unless you select a paid plan.

5. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk email (spam) or engage in phishing.
  • Distribute malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to systems.
  • Host content that is unlawful, defamatory, harassing, threatening, or that violates the intellectual property rights of others.
  • Engage in cryptocurrency mining or other resource-intensive activities unrelated to publishing.
  • Attempt to bypass usage limits, rate limits, or security measures of the Service.
  • Resell access to the Service without authorization.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice.

6. Content Ownership

You retain full ownership of all content you create, upload, or publish through the Service. Chloe does not claim any intellectual property rights over your content.

By using the Service, you grant Chloe a limited license to host, store, transmit, and cache your content solely for the purpose of providing the Service. This license terminates when you delete your content or close your account.

7. Service Availability

Chloe targets 99.9% uptime for all hosted Ghost instances, measured on a monthly basis. This target excludes:

  • Scheduled maintenance windows (announced at least 24 hours in advance).
  • Force majeure events beyond our reasonable control.
  • Issues caused by your custom code, themes, or third-party integrations.
  • DNS propagation delays for custom domain changes.

We will provide reasonable efforts to maintain service continuity. In the event of extended downtime exceeding our SLA target, affected customers may be eligible for service credits as described in the applicable plan documentation.

8. Termination

Either party may terminate this agreement at any time:

  • By you: cancel your subscription through the portal at any time. Your instance will remain active until the end of the current billing period.
  • By Chloe: we may terminate or suspend your account for violation of these Terms, non-payment, or if required by law.

Upon termination, you may export your content within 30 days. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Chloe and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Chloe in the 12 months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on this page with a revised effective date.
  • Sending an email notification to the address associated with your account.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
